These Terms and Conditions ("Terms") govern your use of the website, services, and programs offered by Local Legend Media ("Company," "we," "us," or "our"). By accessing our website or engaging our services, you agree to be bound by these Terms. If you do not agree, please discontinue use immediately.

1. Services Offered

Local Legend Media provides multi-channel local marketing services, including but not limited to:

• High Value Market Mapping
• Traditional media placement through our partnership with Best Version Media
• Digital amplification and social media advertising
• Search visibility and reputation management
• AI-optimized website design
• White label media services for agencies
• Franchisee and dealer co-op placement programs
• Podcast Spotlight features on Legendary Impact LIVE
• Branded Podcast Host program on Legendary Impact LIVE
• Golden Marketplace Business Directory and Spotlight Interviews
• Golden Marketing Hour Business Networking Events

The specific scope, deliverables, and pricing for each service will be outlined in your service agreement, proposal, or purchase confirmation.

2. Podcast Spotlight Program

2.1 Guest Purchases

Individuals and businesses may purchase a Podcast Spotlight feature for $499. This fee covers the full Podcast Spotlight package as described on our service page, including a featured livestreamed video interview, pre-interview positioning guidance, topic development and strategic framing, distribution across podcast platforms, and a month's worth of video clips for social media.

2.2 Podcast Host Program

Accepted podcast hosts on Legendary Impact LIVE agree to the following terms:

• Host a minimum of two (2) episodes per month on their assigned channel
• Actively recruit and book a minimum of two (2) guests per month, each of whom must purchase a Podcast Spotlight feature at the current guest rate
• Dedicate approximately five (5) hours per month to their hosting responsibilities
• Provide branded podcast studio assets (backgrounds, intro video, outro video) using our setup guide, or purchase our Branded Studio Design Package for $497
• Maintain a professional standard of conduct consistent with the Local Legend Media brand

Host status is subject to ongoing review. Failure to meet minimum episode or guest requirements may result in suspension or removal from the program at our discretion.

2.3 Studio Branding Package

Hosts who do not have access to a graphic designer may purchase our Branded Studio Design Package for a one-time fee of $497. This package includes StreamYard studio backgrounds, overlay graphics, an animated intro video, and an animated outro video. This fee is non-refundable once design work has commenced.

3. Payments and Refunds

3.1 Payment Terms

All fees are due at the time of purchase unless otherwise specified in a written agreement. We accept payment via the methods displayed at checkout. By submitting payment, you authorize us to charge the amount indicated for the services selected.

3.2 Refund Policy

Due to the nature of our services, all sales are generally final. Refunds may be considered under the following circumstances:

• A Podcast Spotlight purchase cancelled at least 72 hours before the scheduled recording date may be eligible for a full refund or reschedule
• Branded Studio Design Package fees are non-refundable once design work has commenced
• Service retainers are non-refundable unless otherwise specified in your written agreement

Refund requests must be submitted in writing to [email protected]. We reserve the right to approve or deny refund requests at our sole discretion.

4. Intellectual Property

4.1 Our Content

All content on our website and produced by Local Legend Media — including text, graphics, logos, video content, podcast episodes, and marketing materials — is the property of Local Legend Media or our licensors and is protected by applicable copyright, trademark, and intellectual property laws. You may not reproduce, distribute, or use our content without written permission.

4.2 Client and Host Content

By submitting content to Local Legend Media (including logos, brand assets, interview recordings, or written materials), you grant us a non-exclusive, royalty-free license to use, reproduce, distribute, and display that content in connection with delivering our services and promoting our platform. You represent and warrant that you own or have the right to submit such content.

4.3 Podcast Episode Content

Podcast episodes produced through our platform are co-owned by Local Legend Media and the featured guest or host. We retain the right to distribute, promote, and repurpose episode content across our platforms. Guests and hosts receive full rights to use and share their episode content for personal and business promotional purposes.

5. User Conduct

When interacting with our website, services, or programs, you agree not to:

• Submit false, misleading, or fraudulent information
• Impersonate any person or entity
• Use our services for any unlawful purpose
• Interfere with the operation of our website or services
• Engage in conduct that damages the reputation of Local Legend Media or its partners

We reserve the right to terminate access to our services for any user who violates these standards.

6. SMS Communications

By opting in to SMS communications through our forms or programs, you consent to receive marketing, informational, and transactional text messages from Local Legend Media. You may opt out at any time by replying STOP. Message and data rates may apply. See our Privacy Policy for additional details.

7. Third-Party Partners

Local Legend Media operates in partnership with Best Version Media for traditional print media placement. Placement, distribution, and content standards related to Best Version Media publications are subject to Best Version Media's own terms and policies. We are not liable for actions, omissions, or changes made by third-party partners.

8. Disclaimers

Our services are provided on an "as is" and "as available" basis. We make no warranties, express or implied, regarding the results of our marketing services, including but not limited to visibility, lead generation, revenue, or audience growth. Marketing outcomes depend on many factors outside our control.

We do not guarantee that our website will be uninterrupted, error-free, or free of viruses or other harmful components.

9. Limitation of Liability

To the fullest extent permitted by applicable law, Local Legend Media shall not be liable for any indirect, incidental, consequential, special, or punitive damages arising from your use of our services or website, even if we have been advised of the possibility of such damages.

Our total liability for any claim arising from or related to our services shall not exceed the amount you paid us in the three (3) months preceding the claim.

10. Indemnification

You agree to indemnify, defend, and hold harmless Local Legend Media, its officers, employees, contractors, and partners from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of or related to your use of our services, your violation of these Terms, or your infringement of any third-party rights.

11. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Colorado, without regard to its conflict of law provisions. Any dispute arising from these Terms or your use of our services shall be resolved through good-faith negotiation first. If negotiation fails, disputes shall be submitted to binding arbitration in Jefferson County, Colorado, in accordance with the rules of the American Arbitration Association.

12. Modifications to Terms

We reserve the right to update or modify these Terms at any time. Changes will be effective upon posting the updated Terms to our website with a revised effective date. Your continued use of our services after changes are posted constitutes your acceptance of the revised Terms.

13. Entire Agreement

These Terms, together with our Privacy Policy and any written service agreements, constitute the entire agreement between you and Local Legend Media with respect to your use of our services and supersede all prior understandings or agreements.
